This Agreement outlines the terms under which Thryv Tech, a digital services brand under Thryvcommerce, provides digital infrastructure services to its clients.
Important: By making payment or engaging our services, the client automatically agrees to the terms outlined below. Please read them carefully.
01. Scope of Services
Thryv Tech provides business websites, landing pages, e-commerce stores, and digital integrations. The exact scope is defined by your selected package (Starter, Growth, or Scale).
- Any work outside the agreed scope will attract additional charges.
02. Project Timeline
Timelines depend on the client providing content, feedback, and approvals promptly. Thryv Tech is not responsible for delays caused by client response times.
03. Payment Terms
Upfront

Note: Payments are non-refundable once work has commenced.

05. Client Responsibilities
Clients must supply accurate business info and content (text/logos). Thryv Tech is not liable for copyright issues regarding client-provided materials.
06. Third-Party Services
Hosting, domains, and payment gateways are third-party services. Thryv Tech is not responsible for outages or pricing changes by these external providers.
07. Managed Infrastructure & Lifetime Support
Thryv Tech provides a "Managed Service" model. As long as the client remains within the Thryvcommerce ecosystem, the following are provided at no additional cost:
*Major feature additions or full redesigns after the initial launch will attract a separate technical fee.
09. Intellectual Property & Usage Rights
Upon full payment, Thryv Tech grants the client a Lifetime Usage License for the final digital build. While the underlying source code and proprietary infrastructure remain the intellectual property of Thryv Tech, the client retains exclusive rights to use the platform, request lifetime modifications (within support limits), and enjoy complimentary hosting and a Thryv-branded subdomain.
*Thryv Tech retains the right to display the project in its portfolio and marketing case studies.
10. Limitation of Liability
Thryv Tech is not liable for loss of business revenue, data loss by third parties, payment gateway issues, or platform downtime. Services are provided "as-is" based on industry best practices.
